3.2 Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of material changes to existing service agreements.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of account credentials
• Notify us promptly of any unauthorized access or security breaches
• Comply with all applicable laws and regulations
• Maintain appropriate licenses for software and systems we manage
• Provide reasonable access to systems and facilities as needed
• Follow our recommendations for security best practices

5. Payment Terms

Payment terms will be specified in your service agreement. General terms include:

• Fees are due according to the billing schedule in your agreement
• Late payments may incur interest charges and service suspension
• Prices may be adjusted annually with 60 days notice
• Setup fees, if applicable, are non-refundable

6. Term and Termination

6.1 Term

Service agreements typically have an initial term followed by automatic renewal periods unless terminated according to the agreement terms.

6.2 Termination by Client

Clients may terminate services by providing written notice as specified in the service agreement (typically 30-60 days). Early termination fees may apply.

6.3 Termination by Company

We may terminate services immediately if:

• Payment is not received within 30 days of the due date
• You breach these Terms of Service or the service agreement
• You engage in illegal or harmful activities
• Providing services would violate applicable laws

7. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Rainier IT Solutions or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the service relationship. This obligation survives termination of services.

9. Data Security and Privacy

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security. Our handling of your data is governed by our Privacy Policy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claim arising from services will not exceed the amount paid for services in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for damages caused by factors outside our reasonable control
• We are not liable for third-party products or services

11. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

12. Indemnification

You agree to indemnify and hold harmless Rainier IT Solutions from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, telecommunications failures, or cyber attacks.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by the laws of the State of Washington, without regard to conflict of law principles.

14.2 Arbitration

Any disputes will be resolved through binding arbitration in Pierce County, Washington, except that either party may seek injunctive relief in court for intellectual property or confidentiality breaches.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any service agreements, constitute the entire agreement between you and Rainier IT Solutions.

15.2 Amendments

We may update these Terms from time to time. We will notify you of material changes, and your continued use of services constitutes acceptance.

15.3 Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

15.4 Assignment

You may not assign your rights or obligations without our written consent. We may assign our rights and obligations with notice to you.

15.5 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.
